Stamp Duty on a Sale Agreement in Karnataka and Its Adjustment in the Sale Deed

A sale agreement is the first formal document in most property purchases in Bangalore, and it carries stamp duty of its own. In Karnataka the amount depends on one question: does the buyer get possession before the sale deed? This guide explains the two cases, how duty paid on the agreement is set off when the sale deed follows, when the agreement has to be registered and what RERA adds for flats under construction.

What a Sale Agreement Does

A sale agreement, also called an agreement to sell or an agreement for sale, records the promise to transfer a property later. It fixes the price, the payment dates, the date for the sale deed and what happens if either side backs out. Ownership stays with the seller until a sale deed is registered.

The agreement still matters a great deal. It lets the buyer enforce the deal in court, it is the paper a bank asks for before releasing a home loan, and it locks the terms while the checks on title are finished. For these uses, the agreement has to carry the proper stamp duty.

Two Kinds of Agreement, Two Levels of Duty

The Karnataka Stamp Act, 1957 splits sale agreements for immovable property into two groups under Article 5(e) of its schedule. The table below shows the difference.

PointPossession before the sale deedPossession only at the sale deed
Stamp duty on the agreementSame as on a sale deed, on market valueA small duty on the agreed price
Duty on a flat above Rs. 45 Lakhs5% plus cess and surcharge, 5.6% in allA fraction of a per cent
When the main duty is paidAt the agreementAt the sale deed
RegistrationNeeded to protect possessionOptional for a resale, required under RERA

The first group covers any agreement under which possession is handed over, or is agreed to be handed over, ahead of the sale deed. The law treats such a document as a sale in substance and charges it like one. The second group is the ordinary agreement, where the buyer receives the keys only when the sale deed is registered.

Agreement With Possession

Early possession is common in resale deals. A buyer may want to start interior work, or a seller may have moved out and want the buyer to take over the upkeep. Once the agreement says so, full sale deed duty falls due on the agreement itself.

The duty is worked out on the market value, which is the agreed price or the guidance value, whichever is higher. The slabs are the usual ones: 2% up to Rs. 20 Lakhs, 3% above that up to Rs. 45 Lakhs and 5% above Rs. 45 Lakhs. A 10% cess and a 2% surcharge on the duty take the top slab to 5.6%.

The wording of the document decides the matter. An agreement that records delivery of possession, or promises it before the sale deed, is charged at the higher level. A buyer who needs access only for measurements or a bank valuation should make sure the agreement does not describe that access as possession.

Agreement Without Possession

Most agreements belong here, including builder agreements for flats under construction. The duty is a small percentage of the agreed price. For years it was also capped at Rs. 20,000, but the Karnataka Stamp (Amendment) Act, 2023, notified on 3 February 2024, removed that ceiling. The amount now rises in step with the price, and the sub-registrar's office or the Kaveri online services give the figure for a given deal.

The full conveyance duty is then paid when the sale deed is registered. This order suits a buyer who is funding the purchase in stages, since the large payment to the government comes at the end, usually along with the final loan release.

How the Duty Is Adjusted in the Sale Deed

A buyer who paid sale deed duty on a possession agreement does not pay it a second time. When the sale deed follows the agreement, between the same parties and for the same property, the duty already paid is set off against the duty on the deed. Only a shortfall is collected, for example where the guidance value has risen in between.

Three conditions keep the adjustment safe.

  • The buyer and the seller named in the sale deed are the same as in the agreement.
  • The sale deed refers to the agreement by its date and registration number.
  • The original stamped agreement and the duty receipt are produced at the sub-registrar's office.

A change of buyer breaks the link. If the agreement is in one name and the sale deed is taken in another, such as a spouse or a company, the earlier duty may not be set off. Adding the co-buyer to the agreement at the start avoids the problem.

A Worked Example

Take a resale flat priced at Rs. 80 Lakhs, with a guidance value below that. The figures are an illustration.

  • With possession at the agreement: stamp duty of Rs. 4,48,000 (5.6%) is paid on the agreement.
  • At the sale deed in that case: the Rs. 4,48,000 is set off, and the 2% registration fee of Rs. 1,60,000 is paid.
  • Without possession: a small duty is paid on the agreement, and Rs. 4,48,000 plus the Rs. 1,60,000 fee is paid at the sale deed.

The total duty on the deal is about the same on both routes. The difference is timing. Early possession brings Rs. 4,48,000 forward by weeks or months, to a point where the buyer is also paying the advance and the bank may not have released the loan. When the Agreement Has to Be Registered

Registration and stamp duty are separate steps. An agreement without possession is valid between the parties even when it is unregistered, as long as it is properly stamped. Registering it costs a registration fee, and in return the agreement appears in the encumbrance certificate, where later buyers and lenders see it.

An agreement with possession is a different case. Under the Registration Act, a buyer in possession is protected against eviction by the seller only if the agreement is registered. Banks that fund a purchase at the agreement stage generally ask for a registered document as well.

A weakly stamped agreement creates trouble only when it is needed most. A court will not accept an under-stamped document as evidence until the missing duty is paid with a penalty, which may go up to ten times the shortfall. Paying the correct duty at signing costs far less.

Builder Agreements Under RERA

For a project registered with Karnataka RERA, the rules are tighter. Section 13 of the RERA Act bars a promoter from taking more than 10% of the price before a written agreement for sale is signed and registered. The agreement follows the form set out in the Karnataka RERA rules, with the carpet area, the payment schedule and the possession date.

These agreements give possession only after completion, so they fall in the lower duty group. The buyer pays the small duty and the registration charges at the agreement, and the conveyance duty when the sale deed is registered. A buyer comparing new projects in Bangalore should ask the developer who bears the agreement charges and budget for them along with the booking amount.

Checks Before Signing

A few points settle most questions on duty before the agreement is signed.

  • Decide whether early possession is truly needed, since it brings the full duty forward.
  • Read the possession clause and match it with the duty paid.
  • Put every buyer who will be on the sale deed into the agreement.
  • Pay the duty through the official e-stamp or the Kaveri system and keep the receipt.
  • Fix a clear date for the sale deed, and keep it short.
  • Have a property lawyer read the draft before any advance is paid.

A suit to enforce a sale agreement has to be filed within three years of the date fixed for the sale deed. A long gap between the agreement and the deed weakens the buyer's position, so the agreement stage is best kept brief.

Frequently Asked Questions

What is the stamp duty on a sale agreement in Karnataka?+
It depends on possession. An agreement that gives possession before the sale deed pays the same duty as a sale deed, up to 5.6% with cess and surcharge. An agreement without possession pays a small duty on the agreed price.
Is stamp duty paid twice, on the sale agreement and on the sale deed?+
No. Duty paid on an agreement with possession is set off against the duty on the sale deed, provided the deed is between the same parties for the same property. Only a shortfall is collected.
Is registration of a sale agreement compulsory in Karnataka?+
For a RERA project, yes: the promoter must register the agreement before taking more than 10% of the price. For a resale without possession, registration is optional but useful, as the agreement then shows in the encumbrance certificate.
Does a sale agreement transfer ownership of the property?+
No. A sale agreement is a promise to transfer the property later. Ownership passes only when a sale deed is stamped and registered.
What happens when a sale agreement is under-stamped?+
A court will not accept it as evidence until the missing duty is paid with a penalty, which may go up to ten times the shortfall.
