Sale Agreement vs Sale Deed in Bangalore: What Transfers Ownership

Two documents with similar names mark the start and the finish of a property purchase in Bangalore. A sale agreement fixes the terms on which the property will be sold, and a sale deed completes the sale. This guide compares them, explains the point at which the buyer becomes the owner, covers token money and early possession, and lists the checks that protect a buyer between the two signatures.

The Two Documents in Brief

The agreement goes by several names: sale agreement, agreement to sell and, for new flats, agreement for sale. The deed is also known as a conveyance or an absolute sale deed. The table shows where they differ.

What a Sale Agreement Does

The agreement records the bargain. It identifies the buyer, the seller and the property, states the price with a date for each payment, and sets a deadline for the deed. It lists the papers the seller will hand over, the dues the seller will clear and what follows when one side withdraws.

Section 54 of the Transfer of Property Act, 1882 settles its legal effect. A contract to sell land or a building gives the buyer no interest in the property itself. The buyer gains a personal claim against the seller for completion, and the title remains where it was.

That claim has real value. A bank asks for the agreement before it sanctions a home loan for a specific property. The agreement also holds the price steady while the lawyer finishes the title check, and it is the paper a court enforces against a seller who withdraws.

What a Sale Deed Does

The deed is where the property changes hands. The same section 54 requires a registered document for the sale of any immovable property valued at Rs. 100 or more. Section 17 of the Registration Act, 1908 repeats the requirement, and a deed left unregistered conveys nothing.

The deed confirms receipt of the full price and conveys the property with a clear title. Its schedule carries the survey or khata number, the measurements and the boundaries. From the day the sub-registrar registers it, the buyer is the owner on the public record.

Every later step depends on that registered document. The khata transfer, the property tax record, a loan against the property and a future resale all start from it.

When Ownership Passes

Ownership passes when the deed is registered. Full payment, a signed agreement and even the keys leave the transfer incomplete until then. The Supreme Court confirmed this in 2011 in the Suraj Lamp case. It held that an agreement, a power of attorney and a will convey no title, alone or in combination.

The lesson for a buyer is a short interval between the documents and a modest sum paid inside it. Someone who hands over 80% or 90% of the price against an agreement owns a claim, and the land or flat still belongs to the other side. Payments are best tied to milestones, with the final and largest one released at registration.

Token Money and the Agreement

A resale deal often starts with token money before anything formal is signed. The safer order is a short written receipt for the token, followed quickly by a full agreement. The receipt names the property, records the price, gives a date for signing the agreement and states when the token is returned.

The agreement then deals with the advance on default. The usual terms let the seller keep it when the buyer withdraws without cause. They require the seller to return it, often with an added sum, when the seller withdraws or the title proves defective. A clause that makes the advance refundable on a failed title check or a declined loan is worth asking for.

Possession Before the Sale Deed

Some agreements hand over the keys early. Two consequences follow in Karnataka. An agreement with possession pays stamp duty at the full conveyance rate, and that duty is set off when the deed follows. Such an agreement also has to be registered for the buyer's possession to be protected.

The protection comes from section 53A of the Transfer of Property Act. A buyer in possession under a written, registered agreement, who is ready to complete the deal, is able to resist eviction by the seller. This is a shield for possession only. The buyer still has no title to sell, mortgage or pass on.

Agreements for Flats Under Construction

For a project registered with Karnataka RERA, the agreement stage is regulated. Section 13 of the RERA Act caps the money a promoter may collect at 10% of the price until a written agreement is executed and registered. The Karnataka rules set the form of that agreement, including the carpet area, the instalments and the handover date.

The deed follows once the building is complete. Section 17 requires the promoter to execute a registered conveyance in the buyer's favour, within three months of the occupancy certificate unless a local law sets another period. A buyer of a new flat in Bangalore may therefore hold only an agreement for several years, with RERA as the main protection in that period.

Stamp Duty and Costs

The heavy charges arrive with the deed. In Karnataka the stamp duty is 5% of the market value above Rs. 45 Lakhs, which becomes 5.6% with cess and surcharge, plus a registration fee of 2%. On a flat of Rs. 80 Lakhs that is Rs. 4,48,000 in duty and Rs. 1,60,000 in fees, Rs. 6,08,000 in all.

The charges are worked out on the higher of two figures, the agreed price and the guidance value. A bank does not fund them, so the buyer keeps the amount ready for the day of registration. Our EMI calculator shows the upfront cash a purchase needs along with the monthly instalment.

When the Seller Withdraws

A buyer with a valid agreement has two routes. The first is a suit for specific performance, in which the court directs the seller to sign and register the deed. Since the 2018 amendment to the Specific Relief Act, courts grant this relief as a rule, subject to the exceptions in the Act. The second route is to recover the advance along with damages.

Three conditions support the buyer's case in court.

  • The agreement is in writing and properly stamped.
  • The buyer has paid on time and is able to pay the balance.
  • The suit is filed within three years of the date fixed for completion.

A registered agreement adds one more safeguard. It appears in the encumbrance certificate and warns anyone else who deals with the property.

Checks at Each Stage

A short list carries a buyer safely from the first payment to the registered deed.

  • Finish the title check, or make the agreement conditional on it, before paying a large advance.
  • Write the price, each payment date, the deadline for the deed and the default terms into the agreement.
  • Name every buyer who will appear on the deed.
  • Pay by bank transfer and keep each receipt.
  • Match the schedule in the deed with the agreement, the e-khata and the seller's own title deed.
  • Collect the original title papers, the latest tax receipts and the possession letter at registration.
  • Apply for the khata transfer soon after the deed is returned.

A property lawyer's reading of both drafts is a small cost against the sums involved. We are glad to guide buyers through the paperwork on any project we handle, through our contact page.

Frequently Asked Questions

How does a sale agreement differ from a sale deed?+
The agreement is a contract that binds both sides to a transfer at a later date. The deed is the transfer itself. One is signed first, with the advance, and the other at the end, with the balance price.
Is the buyer the owner once the sale agreement is signed?+
No. An agreement gives the buyer a claim against the seller and nothing in the property itself. Ownership arrives on the day the deed is registered.
Must a sale deed be registered in Karnataka?+
Yes. Immovable property valued at Rs. 100 or more changes hands only through a registered deed. Stamp duty and a 2% registration fee are paid at that point.
Should a sale agreement be registered?+
Registration is required for a RERA project and where the buyer takes possession early. For other resale deals it is optional but useful, since a registered agreement shows up in the encumbrance certificate.
What is the remedy when a seller refuses to complete the sale?+
The buyer may ask a court for specific performance within three years of the date fixed for completion. The court may direct the seller to sign the deed. Recovering the advance along with damages is the other route.
